STEDTI TERMS OF USE (EULA)

Welcome to STEDTI. These Terms of Use (“Terms”, “Agreement”) govern your use of the STEDTI mobile application (the “Service”) operated by HeadMonkey Inc. (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms and Eligibility

By creating an account or using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this Agreement

If you do not meet these requirements, you must not use the Service.

Use of the Service constitutes acceptance of these Terms and our Privacy Policy.

2. Medical Disclaimer and Emergency Notice

STEDTI IS NOT A MEDICAL SERVICE, AND HEADMONKEY INC. IS NOT A HEALTHCARE PROVIDER.

  • The Service provides mindfulness, habit-tracking, and leadership support for educational and informational purposes only
  • No Doctor-Patient Relationship: Use of the Service does not create any clinical or therapeutic relationship
  • Not a Substitute for Care: The Service is not a substitute for medical advice, diagnosis, treatment, or licensed therapy
  • Not for Crisis Use: STEDTI is not intended for use in emergencies or mental health crises

If you are experiencing a crisis or believe you may be a danger to yourself or others, you must immediately contact local emergency services (e.g., 911 in Canada) or a qualified healthcare professional.

3. AI Features and Limitations

The Service includes AI-powered features (e.g., “Ask STEDTI AI”) that generate automated responses.

By using these features, you acknowledge and agree that:

  • AI-generated content may be inaccurate, incomplete, or not appropriate for your situation
  • Responses are provided for informational and reflective purposes only
  • You should not rely solely on AI outputs for decisions involving health, safety, legal, or professional matters

HeadMonkey Inc. makes no guarantees regarding the accuracy or reliability of AI-generated content.

4. User-Generated Content (UGC) and Conduct

The Service may allow users to post content, including text, images, videos, or other materials (“User-Generated Content” or “UGC”).

You agree not to post or share:

  • Content that is defamatory, abusive, threatening, or harassing
  • Hate speech or discriminatory content
  • Sexually explicit or violent material
  • Content promoting illegal activities

Zero-Tolerance Policy: We maintain a strict policy against harmful or objectionable content.

Enforcement: Reports are typically reviewed within 24 hours. We reserve the right to remove content and suspend or terminate accounts at our sole discretion.

5. Intellectual Property

All content, features, and functionality within the Service—including but not limited to text, graphics, branding, software, and the STEDTI Method™—are the exclusive property of HeadMonkey Inc. and are protected by applicable intellectual property laws.

You may not:

  • Copy, reproduce, distribute, or modify any part of the Service
  • Use our intellectual property without prior written consent

6. Subscriptions and Payments

The Service is currently provided free of charge.

If paid features or subscriptions are introduced in the future:

  • Additional terms regarding billing, renewals, and cancellations will apply
  • These terms will be clearly communicated and incorporated into this Agreement

7. Indemnification

You agree to indemnify, defend, and hold harmless HeadMonkey Inc., its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User-Generated Content
  • Your violation of any third-party rights

8. Disclaimer of Warranties (“AS IS”)

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

HeadMonkey Inc. makes no warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, HeadMonkey Inc. shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or goodwill
  • Any damages arising from reliance on the Service or AI-generated content

10. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada.

Any disputes arising from or relating to these Terms shall be resolved:

  • First, through good-faith negotiation
  • If unresolved, through the courts of Ontario, Canada

You agree to bring claims only on an individual basis and not as part of a class action, to the extent permitted by law.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice, if you violate these Terms or engage in conduct that we deem harmful to the Service or other users.

12. Changes to These Terms

We may update these Terms from time to time. Updates will be posted within the Service or on our website.

Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
